# IP-NFT Transfer and Assignment Agreement

This template is an Addendum to an Assignment Agreement for transferring intellectual property (IP) rights and data related to research using non-fungible tokens (NFTs) on the Ethereum blockchain. 

### **When to use it:**

* **Transfer of IP Rights:** When you want to transfer intellectual property rights and data from one entity (Assignor) to another entity (Assignee) using blockchain technology and NFTs.
* **Proof of Ownership:** When you need a legally binding agreement that ties the ownership of IP rights to the ownership of an NFT token on the Ethereum blockchain.
* **Enforcement and Governance:** When you want to establish the governing law, jurisdiction, and dispute resolution mechanism for any potential conflicts related to the transferred IP rights.

### **How to use it:**

1. **Duplicate Template:** click on template below and download the file.
2. **Replace Variables:** Replace the placeholder variables like \[\[ENTITY NAME]], \[\[ASSIGNEE NAME]], \[\[USER SIGNATORY NAME]], etc., with actual names, addresses, dates, and Ethereum wallet addresses as applicable.
3. **Fill in Details:** Add specific details such as the date of the sponsored research agreement, the subject of the research, the IP-NFT minting fee, the current date, the IP-NFT ID, and the IP-NFT smart contract address.
4. **Review and Customize:** Review the entire template to ensure it aligns with your specific situation and legal requirements. Modify any sections to reflect your agreement accurately.
