▪️IP-NFT Transfer and Assignment Agreement

This template is an Addendum to an Assignment Agreement for transferring intellectual property (IP) rights and data related to research using non-fungible tokens (NFTs) on the Ethereum blockchain.

When to use it:

• Transfer of IP Rights: When you want to transfer intellectual property rights and data from one entity (Assignor) to another entity (Assignee) using blockchain technology and NFTs.

• Proof of Ownership: When you need a legally binding agreement that ties the ownership of IP rights to the ownership of an NFT token on the Ethereum blockchain.

• Enforcement and Governance: When you want to establish the governing law, jurisdiction, and dispute resolution mechanism for any potential conflicts related to the transferred IP rights.

How to use it:

1. Duplicate Template: click on template below and download the file.

2. Replace Variables: Replace the placeholder variables like [[ENTITY NAME]], [[ASSIGNEE NAME]], [[USER SIGNATORY NAME]], etc., with actual names, addresses, dates, and Ethereum wallet addresses as applicable.

3. Fill in Details: Add specific details such as the date of the sponsored research agreement, the subject of the research, the IP-NFT minting fee, the current date, the IP-NFT ID, and the IP-NFT smart contract address.
